Terms of Service

1. Acceptance of Terms

By accessing or using CenterPulse ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

CenterPulse is an enterprise SaaS platform for multi-center childcare portfolio operators providing enrollment management, marketing automation, curriculum delivery, compliance tracking, and portfolio-wide operational tools.

3. Accounts and Access

You must provide accurate and complete information when creating an account
You are responsible for maintaining the security of your account credentials
You are responsible for all activity that occurs under your account
CenterPulse reserves the right to suspend or terminate accounts that violate these Terms

4. Fees and Payment

Platform fee: $173.07 per week per center ($9,000 per year)
Setup fee: $1,500 per center (one-time)
Payroll Add-On: $50 per payroll run (Check HQ)
Ad spend billed at cost plus a 10% management fee
Billing occurs weekly via ACH on Wednesdays
All fees are non-refundable unless otherwise stated in writing

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service
Transmit any harmful, offensive, or disruptive content
Reverse engineer or attempt to extract source code
Resell or sublicense the Service without written permission

6. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You represent that you have the right to upload and process any data you submit to the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by CenterPulse LLC and are protected by copyright, trademark, and other laws. Your data remains your property.

8. Third-Party Integrations

The Service integrates with third-party platforms including Stripe, Meta, Google, Check HQ, Resend, and Supabase. Your use of these integrations is subject to their respective terms of service. CenterPulse is not responsible for third-party platform changes, outages, or policy updates.

9. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. CenterPulse does not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, CenterPulse LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

11. Termination

Either party may terminate this agreement with 30 days written notice. CenterPulse may terminate immediately for material breach of these Terms. Upon termination, your access to the Service will cease and data will be retained for 90 days before deletion.

12. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law provisions. Any disputes shall be resolved in courts located in Columbia, Missouri.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.
